Terms of Service.

1. The beta

CloudAgent is an invite-only private beta. Accounts are created manually by the team; there is no self-service registration. We may change, limit, or discontinue beta features, and availability is not guaranteed. The service is provided "as is" during the beta, without warranties of any kind to the extent permitted by law.

2. Credits

• –1 credit corresponds to 1 USD of managed model balance.
• –Credits pay for managed model token usage at the rates published on the pricing page at the time of use.
• –During the private beta, workspace compute is included under fair-use limits.
• –Paid credits expire 12 months after purchase where legally permitted. Promotional credits expire after 90 days.
• –Promotional credits are consumed before paid credits.
• –Credits are not cash, are not transferable, and cannot be redeemed for money except where required by law.

3. Payments & refunds

Purchases are processed by Stripe. Credits are added to your balance only after the payment is confirmed by our payment processor.

Unused paid credits are refundable where required by law, and otherwise at our discretion — email wu@learnwithpal.org and we will review promptly. Credits already consumed by model usage are not refundable. Promotional credits have no cash value.

4. Model usage & rates

Different models have different per-token rates, which include our platform margin. Rates can change; changes apply prospectively and never retroactively re-price past usage. Your dashboard shows every debit with the rate that was applied.

5. Your responsibilities

• –You are responsible for reviewing agent output before merging, deploying, or otherwise relying on it. Model output is not guaranteed to be correct.
• –You must have the rights to any repository or data you connect to the service.
• –You must keep your login email secure — login links grant access to your account.
• –You must comply with the Acceptable Use Policy.

6. Suspension & termination

We may suspend accounts that violate these terms or the Acceptable Use Policy, or that create security or abuse risk. You may stop using the service and request account deletion at any time; refundable balances are handled per the refunds section.

7. Liability

To the maximum extent permitted by law, CloudAgent's aggregate liability arising out of the beta is limited to the amount you paid for credits in the twelve months preceding the claim. We are not liable for indirect or consequential damages, including damage caused by agent-generated code you chose to run.
